Matador Resources Company Announces Formation of Joint Venture for Delaware Basin Midstream Assets

DALLAS–(BUSINESS WIRE)–Matador Resources Company (NYSE: MTDR) (“Matador” or the “Company”) today announced the formation of San Mateo Midstream, LLC (“San Mateo” or the “joint venture”), a strategic joint venture between a wholly-owned subsidiary of Matador and a subsidiary of Five Point Capital Partners LLC (“Five Point”) to operate and expand Matador’s midstream assets in the Delaware Basin in Eddy County, New Mexico and Loving County, Texas (the “Midstream Assets”). Matador received $171.5 million in connection with the formation of the joint venture and may earn up to an additional $73.5 million in deferred performance incentives over the next five years. Matador will continue to operate the Midstream Assets and control the joint venture. At formation, Matador and Five Point owned 51% and 49% of the joint venture, respectively. The implied value of the Midstream Assets and the associated gathering, processing and disposal agreements entered into with Matador, as described below, was approximately $500 million at closing after taking into account the performance incentives.

(“Five Point”) and Matador Resources Company (NYSE: MTDR) (“Matador”) today announced the
formation of San Mateo Midstream, LLC (“San Mateo” or the “JV”) to own, operate and expand natural
gas, crude oil, and produced water midstream assets in the Delaware Basin, including Matador’s
midstream assets in Eddy County, New Mexico and Loving County, Texas (the “Midstream Assets”).
At formation, Five Point and Matador owned 49% and 51% of the JV, respectively, with Matador’s
midstream team continuing to operate the Midstream Assets.

The Woodlands, Texas, September 12, 2016 – EVX Midstream Partners, LLC (“EVX”) today announced that it has entered into a definitive agreement to build a crude oil gathering system in the Eagle Ford oil window. The gathering system (“EVX South Texas Crude”) will be underpinned by a fee-based, 10-year agreement that includes a substantial acreage dedication and existing crude oil production in Frio, La Salle and McMullen Counties, Texas. EVX South Texas Crude facilities will serve many of the same producers as EVX South Texas Water and ultimately create higher netbacks for EVX’s customers.

EVX Midstream Partners Announces Construction of Eagle Ford Water Gathering System

The Woodlands, Texas, May 2, 2016 – EVX Midstream Partners, LLC (“EVX”) today announced it has entered into a definitive agreement to build a produced water gathering system in the Eagle Ford oil window. The gathering system and surrounding facilities (“EVX South Texas”) will be underpinned by a fee-based, 15-year agreement that includes a 72,000 acre dedication in La Salle, Frio, and Atascosa Counties, Texas. Construction of the system will begin in May and is expected to be placed into service in the fourth quarter of 2016. EVX is currently evaluating multiple expansion opportunities for the water system, as well as potential crude oil and natural gas projects, to provide midstream solutions and cost savings to area producers.
